AMD Acquires ZT Systems for $4.9 Billion to Strengthen AI Data Center Strategy

AMD acquires infrastructure provider ZT Systems for $4.9 billion in a cash and stock deal to boost its AI ecosystem capabilities. The transaction includes a potential $400 million contingent payment based on specific performance metrics. By absorbing ZT Systems' computing infrastructure design business, AMD aims to compete more effectively against Nvidia in the race to supply complete AI solutions.
The chipmaker plans to keep ZT Systems' design operations while selling off the company's data center infrastructure manufacturing business to a strategic partner. ZT Systems, a New Jersey-based firm founded in 1994, currently works closely with major chipmakers like Nvidia and Intel to build server solutions for high-performance computing, storage, and edge computing.
This acquisition allows AMD to offer end-to-end data center AI infrastructure by combining its Instinct AI accelerators, EPYC CPUs, and networking products with ZT Systems' rack-scale design expertise. AMD CEO Dr. Lisa Su states this move significantly strengthens the company's ability to rapidly deploy leadership training and inferencing solutions for cloud and enterprise customers.
