BioNTech Acquires AI Firm InstaDeep for $440M to Boost Drug Discovery

BioNTech acquires AI and machine learning company InstaDeep in a deal that includes an upfront payment of approximately £362 million in cash and shares. The transaction builds on a multi-year collaboration between the two companies, which previously established a joint AI Innovation Lab in 2020 and completed dozens of projects together. InstaDeep shareholders also stand to receive up to £200 million in additional performance-based milestone payments.

The acquisition integrates advanced artificial intelligence capabilities directly into BioNTech's operations to help discover, design, and develop next-generation immunotherapies at scale. By bringing InstaDeep's technology in-house, BioNTech strengthens its pioneering position in AI-powered drug discovery across its various therapeutic platforms. This strategic move supports BioNTech's goal of addressing diseases with high unmet medical needs through faster and more efficient vaccine and treatment development.

The deal adds approximately 240 highly skilled professionals specializing in artificial intelligence, machine learning, and data science to BioNTech's existing workforce. InstaDeep operates from a global network of leading technology hubs and maintains its London headquarters as a BioNTech company following the closure of the transaction. The acquisition is expected to officially close in the first half of 2023, pending standard regulatory approvals.
