Twitter Sues Elon Musk to Enforce $44 Billion Acquisition Agreement

Twitter files a lawsuit against Elon Musk in the Delaware Court of Chancery to compel him to complete his $44 billion acquisition of the social media company. The complaint alleges that Musk signs a binding, seller-friendly merger agreement in April 2022 but refuses to honor his obligations just three months later. Twitter asserts that Musk believes he is above Delaware contract law and is free to walk away from the deal simply because it no longer aligns with his personal interests.

The legal action accuses Musk of a long list of material contractual breaches that cast a negative pall over Twitter and its business operations. After publicly putting Twitter in play and proposing the original terms, Musk attempts to trash the company, disrupt its operations, and destroy stockholder value. Twitter seeks an injunction to stop further breaches and demands that the court force Musk to fulfill his legal obligations.

Musk is a highly prominent figure on the Twitter platform with over 100 million followers and more than 18,000 posts. He also suggests he might consider starting his own competing social media company. Twitter ultimately brings this case to ensure Musk consummates the merger upon the satisfaction of the few outstanding conditions outlined in their original agreement.
