ZoomInfo Finalizes $575 Million Chorus.ai Purchase and Secures New Funding

ZoomInfo acquires conversation intelligence leader Chorus.ai for an approximate cash purchase price of $575 million. The business intelligence platform funds a significant portion of this purchase price using $225 million in revolving credit borrowings, while the remainder comes directly from its cash on hand.
To manage the costs of this major acquisition, ZoomInfo issues $300 million in aggregate principal amount of 3.875% Senior Notes due 2029. The company also amends its existing first lien credit agreement to allow for an additional $200 million in term loans, creating a comprehensive financial structure to support the transaction.
ZoomInfo uses the combined net proceeds from the new notes and the additional term loans to repay the $225 million drawn from its revolving credit facility. The remaining funds cover acquisition-related fees and expenses, as well as general corporate purposes, allowing the company to seamlessly integrate Chorus.ai's assets into its go-to-market intelligence platform.
